These terms apply to your use of teambase.com.ng and of TeamBase, a product of ClickSixty Technologies. They are an agreement between you and ClickSixty Technologies (“we”, “us”), a company registered in Nigeria with RC number [RC 0000000], whose office is at 22 Lamona Street, Ijegun, Lagos, Nigeria.

Every organisation that uses TeamBase signs a subscription agreement or order form with us. That agreement sets out the plan, fees, service levels and any special terms. If anything in the signed agreement differs from these terms, the signed agreement applies.

1. Definitions

  • Customer: the organisation that subscribes to TeamBase.
  • User: anyone the customer allows to use TeamBase, including its employees, managers, HR, payroll and administrators.
  • Customer data: everything the customer and its users put into TeamBase, including employee records, attendance, leave and payroll data.
  • Service: TeamBase, the HR, attendance and payroll software we provide online as a subscription service, including the customer’s own address (such as yourcompany.teambase.com.ng), with any setup, training and support we provide.

2. Using this website

This website gives general information about TeamBase. It is not legal, tax or HR advice. Statutory rates and rules change, so please confirm anything you rely on with us or your advisers.

When using the website, you must not:

  • try to gain unauthorised access to the website, the service or our systems;
  • introduce viruses or other harmful code, or overload the website;
  • copy content from the website in bulk, or use automated tools to scrape it;
  • send false information through our forms, or submit forms on behalf of someone else without their permission.

We may change or withdraw any part of the website at any time.

3. Accounts

Organisations cannot sign themselves up. The TeamBase team creates each customer’s account after the subscription agreement is signed. The customer then decides who its users are and what each can see and do.

The customer is responsible for:

  • choosing its administrators and keeping user access up to date, including removing people who leave;
  • making sure users keep their sign-in details private and use two-step sign-in where the customer requires it;
  • everything done under its users’ accounts;
  • telling us straight away at info@teambase.com.ng if it suspects unauthorised access.

4. Customer data

The customer owns its customer data. The customer gives us permission to host, process and back up customer data only so that we can provide the service, support the customer and meet our legal obligations.

The customer is the data controller for its employees’ personal data, and TeamBase acts as its data processor. Our data processing agreement with each customer forms part of the subscription agreement. Among other things, it covers how we keep data secure, which service providers we use, and what happens to data when the contract ends. Our privacy policy explains our wider approach.

The customer is responsible for having a lawful basis to collect and use its employees’ data, for telling employees how their data is used, and for the accuracy of what it puts into TeamBase.

5. Payroll and statutory deductions

TeamBase calculates pay, PAYE, pension, NHF, NSITF, ITF and other deductions from the rules and data configured for each customer. We keep the statutory rules in TeamBase up to date as changes are published.

The customer remains responsible for its payroll. That includes checking and approving each payroll run, making salary payments and statutory remittances, and filing returns on time. TeamBase is a tool to do this accurately and efficiently; it does not replace the customer’s own approval or professional advice.

If you find an error in a calculation, tell us promptly and we will correct the service as quickly as we can.

6. Fees and payment

Fees are set out in the subscription agreement or order form. Unless the agreement says otherwise:

  • fees are invoiced in naira, in advance;
  • invoices are due within [30] days;
  • fees do not include VAT or other taxes, which are added at the applicable rate;
  • if an invoice is more than [30] days overdue, we may suspend access after giving at least [14] days’ written notice. We will restore access promptly once payment is received.

We will give at least [60] days’ notice of any price change, which takes effect from the customer’s next renewal.

7. Availability and support

We work to keep TeamBase available at all times. We carry out planned maintenance outside normal Nigerian working hours wherever we can, and give notice of any planned downtime. Service levels and support hours for each plan are set out in the subscription agreement.

8. Acceptable use of the service

Customers and users must not:

  • use TeamBase for anything unlawful, or to store data they have no right to hold;
  • try to break or get around TeamBase’s security, roles or access limits;
  • copy, modify, resell or reverse engineer TeamBase, or build a competing product from it;
  • interfere with other customers’ use of TeamBase.

We may suspend a user or account that breaks these rules or puts the service or other customers at risk. Where we can, we will talk to the customer first.

9. Intellectual property

ClickSixty Technologies owns TeamBase, this website and everything in them, including the software, designs, text and the TeamBase name and logo, apart from customer data. Customers receive a right to use the service for their own organisation for the length of their subscription. If you send us suggestions or feedback, we may use them freely to improve TeamBase.

10. Confidentiality

Each of us will keep the other’s confidential information private and use it only for the purposes of the subscription. This does not apply to information that is already public, that the other party already had, or that the law requires to be disclosed.

11. Third-party services

TeamBase can connect to services we do not control, such as banks, accounting software (for example Sage, QuickBooks and Xero), single sign-on providers and messaging apps. Their own terms apply to their services, and we are not responsible for them.

12. Ending a subscription

Either party may end a subscription as the subscription agreement allows. Either of us may also end it by written notice if the other seriously breaks these terms or the agreement and does not put it right within 30 days of being asked to.

When a subscription ends, the customer can export its customer data for [30] days. After that we delete it, except where the law requires us to keep it, as set out in the data processing agreement.

13. Warranties

We will provide the service with reasonable skill and care, in line with the subscription agreement. Apart from that, and to the extent the law allows, the service and this website are provided without other warranties.

14. Limitation of liability

Neither of us is liable for loss of profit, revenue or goodwill, or for any indirect or consequential loss.

Our total liability under or in connection with a subscription is limited to the fees the customer paid us in the 12 months before the event giving rise to the claim.

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

15. Changes to these terms

We may update these terms from time to time. The date at the top shows the latest version. We will tell customers about significant changes at least [30] days before they take effect.

16. Law and disputes

These terms are governed by the laws of the Federal Republic of Nigeria. If a dispute arises, we will first try to resolve it by discussion between senior people on each side. If it is not resolved within 30 days, it may be taken to the courts of [Lagos State], which will have exclusive jurisdiction.
